Shana L. Bell is a corporate and transactional attorney whose practice includes mergers and acquisitions, securities regulation, corporate governance, corporate restructuring, and venture and private capital raises. She advises clients on matters involving private placements, joint ventures, early and growth-stage financing, and the structuring and formation of investment vehicles. Shana has extensive experience drafting, reviewing, and negotiating complex transaction documents and offering materials. She brings a detail-oriented, practical approach to helping clients meet their business objectives.
Shana works with private fund managers and public and private companies on legal issues that span the lifecycle of their transactions. Her experience includes advising on governance and regulatory compliance, preparing SEC filings and stock exchange disclosures, supporting strategic initiatives and post-acquisition integration, and conducting due diligence on complex investment offerings. She also counsels clients on subscription agreements, side letter negotiations, private offerings, and compliance matters under the Securities Act, Exchange Act, Investment Company Act, and Investment Advisers Act.
Shana earned her LL.M. from American University Washington College of Law and her J.D., cum laude, from Florida A&M University College of Law. She received her B.A. from Rollins College.
