Orlando, Florida – The law firm of ShuffieldLowman recently provided legal counsel to Humble Imports, Inc. d/b/a ECD Auto Design, Inc. (ECD) in their successful business combination with EF Hutton Acquisition Corporation I (EFHT). The newly combined company is named "ECD Automotive Design Inc.", and its common stock and warrants trade on the Nasdaq Global Market under the symbols "ECDA" and "ECDAW," respectively. ECDA rang the Nasdaq opening bell and started trading on Wednesday, December 13, 2023.
ShuffieldLowman partner Julia D. Dennis, along with attorneys Christopher K. Batts and Zachary J. Conjeski served as M&A counsel for ECD. PAG Law PLLC served as co-counsel to ECD, and Loeb & Loeb, LLP served as legal counsel to EFHT.
ECD is a leader in delivering restored, modified, and electrified Land Rover Defenders, Jaguars, and other classic and collectible automobiles. The company was founded in 2013 by three British "petrol heads'' whose passion for classic vehicles is the driving force behind exceptionally high standards for quality, custom luxury vehicles. ECD's global headquarters, known as the "Rover Dome," is a 100,000-square-foot facility located in Kissimmee, Florida that is home to 83 craftsmen and technicians, who hold a combined 61 ASE and five master level certifications. ECD has an affiliated logistics center in the U.K. where its seven employees work to source and transport 25-year-old work vehicles back to the U.S. for restoration.
EFHT is a blank check company formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses.
Dennis specializes in general corporate law, mergers and acquisitions, securities law, and intellectual property. In her practice she represents a wide variety of businesses, both large and small, and provides counsel on matters ranging from corporate formation, compliance, negotiation of commercial contracts and strategic transactions, to succession planning, exit strategy, and the ultimate sale or transfer of business assets. She has specific experience within the manufacturing, technology, and simulation sectors, and counsels numerous nonprofit organizations in their formation, procurement of tax exemption status, governance, compliance, and other corporate matters. An honors graduate of the University of Florida Levin College of Law, Dennis speaks Russian and German and is conversational in French.
Batts practices in the areas of corporate law, mergers and acquisitions, securities law, and name, image, and likeness (“NIL”). Batts received his J.D., magna cum laude, from The Ohio State University’s Moritz College of Law where he was inducted as a member of the Order of the Coif legal honor society.
Conjeski holds an LL.M. in taxation and practices in the areas of tax law, corporate law, mergers and acquisitions, non-profit law, planning for high-net-worth families, and estate planning. He earned his J.D., with distinction, from Ohio Northern University and his LL.M. from the University of Florida.
