Shana L. Bell has joined the firm as senior counsel

Orlando, Fla. – ShuffieldLowman is pleased to announce that Shana L. Bell has joined the firm as senior counsel, focusing her practice on corporate and transactional law.

Bell advises clients on a wide range of matters, including mergers and acquisitions, securities regulation, corporate governance, corporate restructuring, and venture and private capital raises. Her practice includes counseling on private placements, joint ventures, early and growth stage financings, and the structuring and formation of investment vehicles. She has extensive experience drafting, reviewing, and negotiating complex transaction documents and offering materials, bringing a detail-oriented, practical approach to helping clients meet their business goals.

Bell works with private fund managers and public and private companies on legal issues throughout the lifecycle of their transactions. Her experience includes advising on governance and regulatory compliance, preparing SEC filings and stock exchange disclosures, supporting strategic initiatives and post-acquisition integration, and conducting due diligence on complex investment offerings. She also counsels clients on subscription agreements, side letter negotiations, private offerings, and compliance matters under the Securities Act, Exchange Act, Investment Company Act, and Investment Advisers Act.

Bell earned her LL.M. from American University Washington College of Law and her J.D., cum laude, from Florida A&M University College of Law. She received her B.A. from Rollins College.
